Agreement
These Terms of Service are an agreement between you and the operator of Herald, based in Indonesia (“Herald”, “we”, “us”). They cover herald.run, the Herald web and native apps, and the Herald API (together, the “Service”). By creating an account or using the Service, you agree to these Terms and acknowledge our Privacy Policy.
You must be at least 16 and able to form a binding contract where you live. If you use Herald for an organization, you confirm that you may accept these Terms on its behalf.
Invite-only beta
Herald is in an invite-only beta. Access is personal to the invited account and may be withdrawn. Features can change, break, or be removed without notice, and data may be lost. We make no promise of uptime, availability, delivery times, or support during the beta.
Do not rely on Herald as the only safeguard for actions where a missed, delayed, or wrong response could cause harm.
Plans and payment
Beta accounts are free and unmetered for now. We may set reasonable limits to protect the Service.
Community, Starter and Pro are personal plans: an account is for one person and may not be shared. Team plans for several people are planned.
Paid plans will come later. Before we charge you anything, we will show the price, billing terms, and payment provider, and you will choose whether to subscribe. Nothing converts to a paid plan automatically.
Your account
Keep your sign-in methods and agent credentials secure. You are responsible for activity under your account, including requests and actions by agents and integrations you connect. Keep your account details accurate and contact us promptly if you suspect unauthorized use.
Acceptable use
Do not use the Service, or let anyone use it through your account, to:
- break the law or infringe anyone’s rights;
- send spam, phishing, malware, or abusive content, or trick people into approving actions or revealing secrets;
- reverse engineer, decompile, or disassemble the Service or apps, except where the law allows it despite this restriction;
- scrape or bulk-extract the Service, or resell, sublicense, or offer it to others as your own service;
- access other accounts or data, bypass limits or security controls, or interfere with or overload the Service;
- probe or test the Service for vulnerabilities without our permission.
Found a security issue? Please contact us instead of testing it further.
Your content and secrets
You keep ownership of the requests, responses, files, and other content you and your agents send (“your content”). You give us permission to host, process, transmit, and display your content only to operate, secure, and support the Service. You are responsible for having the rights to your content and for what your agents do with responses.
Secret-response fields are encrypted to the requester and delivered once. Ordinary messages and attachments are end-to-end encrypted but kept in your history, so never put secrets in ordinary fields. Content expires on its retention schedule; Herald is not an archive, so export what you need. Our Privacy Policy explains what we collect, how long we keep it, and your choices.
If you send us feedback, we may use it without obligation to you.
Herald software and the SDK
The Service, the Herald web and native apps, and the server are proprietary. While these Terms apply, we give you a personal, non-exclusive, non-transferable, revocable license to use the apps to access the Service. We keep all other rights, including in the Herald name and logo.
The Herald SDKs and CLI (herald-run/sdk) are separately licensed under the MIT License, which governs their code. These Terms govern access to the Service, including through the SDK or CLI.
Third-party services
The agents, AI providers, sign-in providers, and other services you connect operate under their own terms. We are not responsible for them, or for actions your agents take based on responses delivered through Herald.
Suspension and termination
You can stop using Herald at any time and contact us to delete your account. We may suspend or end your access if you break these Terms, if your use creates risk or legal exposure for us or others, or if we end the beta or discontinue the Service. Where reasonable, we will give notice and a chance to export your content first.
When access ends, your license to use the Service ends and your content is deleted as described in the Privacy Policy. Sections that by their nature should survive, including disclaimers, limits on liability, and governing law, continue to apply.
No warranties
The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and we do not promise that the Service will be uninterrupted, secure, or error-free, or that any message will be delivered.
Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, including losses from missed, delayed, or incorrect responses. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim arose and US$50.
You will indemnify us against third-party claims arising from your content, your connected agents, or your breach of these Terms, to the extent the law allows. Nothing in these Terms limits liability that cannot be limited by law, or rights you have as a consumer that cannot be waived.
Changes to these terms
We may update these Terms as the Service or the law changes. The effective date identifies the current version. For material changes, we will notify you by email or in the app before they take effect, unless a change is legally required or urgent for security. If you keep using Herald after a change takes effect, the updated Terms apply; if you do not agree, stop using the Service and delete your account.
Governing law and contact
These Terms are governed by the laws of Indonesia, and its courts have exclusive jurisdiction over disputes, except where the law where you live gives you the right to bring claims locally. These Terms and the Privacy Policy are the whole agreement between us about the Service. If a provision is unenforceable, the rest still applies. Not enforcing a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them with the Service.
